STATUTES
of the Association of Pipe Smoking Clubs of the Czech Republic
I. Basic provisions
The name of the association is Asociace dýmkařských klubů České republiky – the Association of Pipe Smoking Clubs of the Czech Republic (hereinafter “the Association”).
The Association has its registered seat at the place of residence of the President of the Association.
The Association is a voluntary association of individual pipe smoking clubs from the Czech Republic.
II. Activities of the Association
The Association’s activities focus on organising events that support pipe collecting, slow pipe smoking contests, exhibitions, trips, excursions and lectures, on promoting pipe smoking and providing the public with objective information, and on deepening the knowledge and awareness of everyone interested.
The Association’s activities are managed by a five-member Board, elected by the General Assembly of the Association for a term of four years. The Board meets regularly every quarter and convenes the General Assembly of the Association at least once a year. Meetings of the Board and of the General Assembly may also be convened on the occasion of Association events.
The Association is a not-for-profit organisation.
III. Membership of the Association
Membership of the Association is voluntary.
Membership of the Association may be:
a) collective (a club with 3 or more members), b) individual, c) honorary
Any pipe smoking club from the Czech Republic that respects and recognises the Statutes of the Association, follows them in its activities and does not act against the aims and interests of the Association may become a member of the Association.
A pipe smoking club becomes a member of the Association by submitting a written application to the Board of the Association. The Board discusses the application at its next meeting and decides by vote whether or not to admit the new member.
On admission, each member of the Association submits a completed Registration Form containing the following information about the pipe club: the name of the club, its company ID number (IČO) if the club is registered with the Ministry of the Interior, the number of club members, and the name, address and telephone number of the club president. The Registration Forms are kept by the Secretary of the Association, who provides an up-to-date list of members on request.
A member of the Association who acts contrary to the Statutes or the interests of the Association, or whose conduct damages the good name of the Association, may be expelled from the Association by a vote of the General Assembly.
IV. Bodies of the Association
The Association has the following bodies: the General Assembly of the Association and the Board of the Association.
The General Assembly of the Association consists of the collective members of the Association; each pipe club delegates one representative, who has one vote. Other members of the Association may be invited to the General Assembly by decision of the Board, but they have an advisory vote only. As the supreme body of the Association, the General Assembly decides on fundamental matters, in particular the dissolution of the Association and amendments to the Statutes; it elects the Board of the Association and, where appropriate, elects or appoints other bodies and officers of the Association to run individual Association events. The General Assembly is convened by the Board at least once a year, always at the end of the Board’s four-year term of office, and also whenever a member of the Association requests it for serious reasons.
The Board of the Association has five members:
- President
- 1st Vice-President
- 2nd Vice-President
- Secretary
- Clerk
Each Board member has one vote. Board meetings are chaired by the President or, in their absence, a Vice-President.
The Board organises and manages the activities of the Association, carries out the tasks assigned to it by the General Assembly and decides on all matters that the Statutes do not reserve for the General Assembly.
The Board is authorised to act on behalf of the Association. Minutes of such dealings, as well as minutes of Board meetings and General Assemblies, are taken by the Secretary of the Association and sent to all collective members of the Association and to the Board members.
If a Board member leaves office before the end of their term, the Board shall hold
a by-election at the next General Assembly.
Any member of the Association may nominate a candidate for the Board, and every member of the Association has the right to stand for election.
Election to the Board requires the approval of two thirds of the members of the Association present.
V. Rights and obligations of members of the Association
A member of the Association has the right to attend General Assemblies and all events organised by the Association.
A member of the Association has the right to vote and to stand for election.
A member of the Association has the right to organise contests and other events for the other members within the activities of the Association.
A member of the Association takes part in and contributes to the activities of the Association regularly, as far as it is able.
A member of the Association respects and abides by the Statutes and acts in the spirit of fair play.
Final provision
These Statutes may be amended or supplemented on the proposal of any member of the Association by a vote of the General Assembly with the approval of two thirds of the members of the Association present.
These Statutes were approved by a vote of the General Assembly of the members of the Association on 28 October 2000.
